PROSPECT ASSESSMENTS
Pre-negotiation business condition reports
Brief: Client requested a deep profile on an international investment target to gain a negotiating position and identify potential warranty or indemnity issues. Complex corporate structure involving cross-ownerships and layered operational functionality.
Solution: Profiled the organisation to determine its regulatory and litigation status and carried out detailed research into the management team and its management style to identify capacities, strengths and weaknesses. Surfaced a detailed appreciation of how management was responding to increasingly adverse market conditions. Identified behaviour patterns to identify current operating strategy. Placed its commercial activities and reaction to market pressure into a contemporary context.
Result: All research objectives achieved with clear advice forthcoming to the client regarding warranties and indemnities.
Brief: A client wanted to buy an innovative technology from another company and needed to place a value on it in terms of its contribution to group turnover and overhead costs. The owner of technology had deliberately concealed this information in a web of group companies in the hope of selling the whole group at an inflated price.
Solution: First identified all the geographical locations associated with the components and assembly of the technology. Then examined and tested the product development, marketing, installation and on-site support structure to identify what was controlled internally and what was outsourced. Cross-matched income, costs of sale and overhead statements to generate an estimate of the cost price, discount levels and margins.
Result: Client purchased on the technology - and at a sensible price.
